This agreement
By using Springle, you agree to these Terms and our Privacy Policy. If you don’t agree, please don’t use Springle.
These Terms of Use (the “Terms”) are a legal agreement between you and [Company legal name], a Delaware company (“Springle”, “we”, “us”). They cover the Springle app for macOS, your Springle account and plans, our website at getspringle.com, and the online services behind them (together, the “Service”).
You accept these Terms when you create an account, download or use the app, or buy a plan. Our Privacy Policy explains how we handle your information and is part of these Terms.
Please read Resolving disputes. If you live in the United States, it says that most disputes between us will be settled by binding individual arbitration rather than in court, and that you give up the right to take part in a class action. You can opt out within 30 days.
Who can use Springle
You must be 18 or over and able to make this agreement.
To use Springle, you must be at least 18 years old and able to form a binding contract, and not be barred from using the Service under the laws that apply to you. If you use Springle for an organisation, you confirm you have authority to accept these Terms for it, and “you” includes that organisation.
Springle runs on Macs with macOS 14.2 or later. Some features need an internet connection, a particular plan, or permissions you grant on your Mac.
What Springle is
Springle is an AI helper on your Mac. It can show you where to click, or do the steps for you while you watch. It’s software, not a person.
Springle listens when you call it, looks at your screen, and helps in three ways:
- Guide me: Springle points to what to click and tells you the next step. It doesn’t act.
- Do it for me: Springle uses your mouse and keyboard to take the steps, within its safety rules.
- Auto: Springle takes the getting-there steps (opening, moving between pages, scrolling, searching) and hands you every step that decides something.
It also checks for scams, keeps a notebook and reminders, explains things, looks things up on the web, and works with apps you connect. Springle is powered by artificial intelligence from third-party providers, described in our Privacy Policy. It is not a person, not a professional adviser, and not a remote-support or monitoring service.
Your account
You sign in with Google. Keep your Mac and Google account secure, because what happens in your account is your responsibility.
- You sign in to Springle with your Google account. Google’s terms apply to that account.
- Give us accurate information, and keep it up to date.
- Keep your Mac, your Mac’s login and your Google account secure. You’re responsible for activity in your Springle account, unless it happened because of our failure.
- An account is for one person. Don’t share it, sell it or transfer it. Springle Family is how two people share a plan.
- Tell us straight away at bharat@innoventuresai.com if you think someone else is using your account.
Permissions on your Mac
Springle needs some macOS permissions to help you. You grant each one, and you can take any of them back at any time.
To work, Springle asks for macOS permissions such as Accessibility (to point and to use the mouse and keyboard), Screen Recording (to see your screen), Microphone and Speech Recognition (to hear you), and optionally Location, Calendars, Reminders and Automation (to control your browser). macOS asks you for each one. You can turn any of them off in System Settings → Privacy & Security, though some features may then stop working.
Only use Springle on a Mac you own or are allowed to use, and only grant these permissions on a Mac where everyone who uses it is comfortable with Springle being there. If someone else uses Springle on your Mac (for example a relative you look after), make sure they know what it does and agree to it.
When Springle acts for you
Springle only does what you ask, and checks with you before anything important. You decide, you can stop it at any time, and what you approve is your choice.
When you ask Springle to do something, you authorise it to take the steps needed on your Mac, in your browser and in your connected apps, on your behalf. Springle follows safety rules that are built into the app on your Mac, and the AI can’t change them:
| Kind of step | Examples | What Springle does |
|---|---|---|
| Just do it | Open, look, scroll, search, use menus, save, print | Does it, in Do it for me (and the getting-there steps in Auto) |
| Ask first | Send, submit, post, download, allow, agree, sign up, change settings, anything on banking or government sites | Asks you plainly and waits for a clear Yes, unless your own request already said to do exactly that one thing |
| Never | Pay or buy, passwords, install, remote access, delete | Points to it, and leaves the pressing to you |
You agree that:
- Your Yes is yours. When you approve a step, or ask for one directly (“send it to Raj”), you’re responsible for that action, just as if you had pressed it yourself. Please check who something is going to and what it says before you say Yes.
- Connected apps act on request. When you ask Springle to do something in an app you’ve connected, like sending an email or adding an event, it may do it straight away without asking again, because connecting the app gave that permission. Be clear about what you want.
- Watch, and stop it if needed. Stay nearby while Springle works. Press Stop, press Esc, or start typing or clicking yourself and Springle stops. It also stops when your Mac locks or sleeps.
- Don’t get around the rules. Don’t try to trick, override or work around Springle’s safety rules, or ask it to do “never” steps for you.
Springle is built to be careful, but software on a computer can still go wrong: a page may change mid-step, a button may be mislabelled, or Springle may misunderstand you. We don’t promise Springle will do every task, or do it perfectly. See Disclaimers and Limits on liability.
AI answers and advice
Springle’s answers come from AI. They’re usually right, sometimes wrong, and never professional advice. In an emergency, call your local emergency number.
- It can be wrong. AI can misunderstand, leave things out, or sound sure about something that isn’t true. Check anything important, especially facts, dates, amounts and contact details.
- Not professional advice. Springle doesn’t give medical, legal, financial, tax or other professional advice. Talk to a qualified person about decisions in those areas.
- Scam checks help, but can’t catch everything. Springle looks out for scams and warns you, but it can miss one or warn about something genuine. Trust your judgement too. If in doubt, contact the company directly using details you already know are real.
- Not for emergencies. Springle isn’t an emergency service and can’t call for help. In an emergency, call 911 or your local emergency number.
- Web results come from others. When Springle looks something up, the answer comes from third-party websites we don’t control.
Plans, billing and renewal
Free is free forever. Paid plans renew automatically until you cancel, through Paddle, our payment partner. Cancel any time and keep your plan until the period ends.
Plans
We offer a Free plan and paid plans (currently Springle and Springle Family), each with the features and monthly allowances shown on our pricing page and in the app when you buy. There is no free trial: the Free plan is how you try Springle.
Paddle, our merchant of record
Paid plans and talk top-ups are sold by our reseller, Paddle (Paddle.com Market Limited and its affiliates), which is the merchant of record for your purchase. Paddle takes your payment, charges any sales tax or VAT, sends your receipts, and handles billing questions and refund requests. Your purchase is also subject to Paddle’s buyer terms. Prices are in US dollars unless shown otherwise, and taxes are added where they apply.
Automatic renewal
Your paid plan renews automatically at the end of each billing period (monthly or yearly) and Paddle will charge your payment method the then-current price, plus tax, until you cancel.
You can cancel at any time in Springle (Settings → Plan → Manage), or through the link in your Paddle receipt. Cancelling stops the next renewal. You keep your paid plan until the end of the period you’ve already paid for, and then move to Free.
- Reminders. Before a yearly plan renews, and wherever the law requires, we or Paddle will remind you in advance with the date and price.
- Price changes. If we change the price of your plan, we’ll tell you at least 30 days before it applies to your next renewal, so you can cancel first if you’d like.
- Failed payments. If a renewal payment fails, you keep your plan for 7 days while Paddle tries again. After that, your account moves to Free until payment is made.
- Changing plans. You can switch plans or billing periods through Settings → Plan. Paddle shows you any amount due before you confirm.
Allowances and fair use
- Monthly allowances (asks, talk time, explanations) reset on the 1st of each month (UTC), on monthly and yearly plans alike. Unused allowances don’t roll over.
- “Unlimited” asks on paid plans are for normal personal use by the people on the plan (“fair use”). If use goes well beyond that, for example automated or commercial-scale use, we may get in touch, and may apply a reasonable limit.
- Scam checks, the safety gate, Yes/No approvals, the tour and the Practice Desk are never counted against an allowance.
- Springle tells you when you reach 80% of an allowance and won’t stop in the middle of a task.
Talk top-ups
Talk top-ups add extra hours of talk time. They don’t expire while your account is open, and they can be used on any plan. They have no cash value and can’t be transferred, exchanged for money or moved to another account. If we ever stop offering talk time, we’ll give you a fair way to use or get a refund for unused top-up hours.
Refunds
Payments are non-refundable, and we don’t give refunds or credits for partly used periods, unused allowances or plans you forgot to cancel, except where the law requires otherwise. Nothing in these Terms takes away your legal rights. For example:
- If you’re a consumer in the EU, EEA or UK, you may have a right to cancel within 14 days of purchase. Paddle handles these requests under its buyer terms.
- If the Service is faulty and the law gives you a remedy, you keep it.
- If we end your plan for no fault of yours, we’ll refund the unused part of any period you’ve paid for.
To ask for a refund, contact Paddle through your receipt, or email us and we’ll help.
Changes to Free
We may change what the Free plan includes. If we reduce a paid plan’s features in a way that matters to you, we’ll tell you in advance, and you can cancel.
Family and helpers
Springle Family is for two people who know and trust each other. A helper gets scam alerts only because you chose them, and only with their agreement.
Springle Family
- The person who buys Springle Family (the “owner”) can invite one other person by code. Each person uses their own Mac and their own Google account.
- The owner pays for and manages the plan. If the plan ends, both people move to Free.
- Family members can see each other’s name and email address, and share one pool of talk time. They can’t see each other’s conversations, screens or notebooks.
- Only invite someone who wants to join. Either person can leave, and the owner can remove the other person, at any time.
Trusted helper alerts
- You choose your own helper. Only add someone who has agreed to get scam alerts about you.
- Alerts say what Springle spotted, never what’s on your screen. See our Privacy Policy.
- Alerts are a courtesy, not a monitoring or emergency service. They can be delayed, missed or wrong. Neither you nor your helper should rely on them alone.
- Weekly summaries, “Ask my helper” and a helper dashboard are planned but not yet available. They’re not part of your plan until we launch them.
Connected apps and other services
When you connect apps like Gmail or Slack, those companies’ own terms still apply. We aren’t responsible for their services.
- Connected apps are available on paid plans. You connect each one through that service’s own sign-in, using our connection partner, Composio.
- Your use of each connected app (and every website and app you use with Springle) is governed by that service’s own terms and policies. You’re responsible for following them, including any rules about automated access.
- Third-party services can change, limit or stop working with Springle at any time. We’ll try to keep things working, but can’t promise any particular app will stay available.
- We don’t control, and aren’t responsible for, third-party services, their content, or what they do with your information.
Using Springle well
Use Springle to help yourself and people who agree to it. Don’t use it to harm anyone, break the law, or break Springle.
You agree not to use Springle, or let anyone else use it, to:
- break any law, or help anyone else break one;
- watch, record, or control someone else’s computer or accounts without their clear permission, or stalk, harass or spy on anyone;
- get into accounts, systems or information you aren’t allowed to access;
- defraud, scam, impersonate or mislead anyone, or send spam;
- create, find or share content that exploits children, or that is illegal, hateful, violent or infringes someone else’s rights;
- get around, disable or test the limits of Springle’s safety rules, allowances or security, or try to make its AI ignore its instructions;
- copy, change, reverse engineer, decompile or take apart the app, except where the law allows this despite this rule;
- resell, rent or sublicense Springle, or use it to build a competing product;
- access our servers, APIs or AI providers other than through the app, or send automated or excessive requests;
- use Springle where a mistake could cause death, injury or serious damage, such as operating medical, emergency, transport or industrial systems; or
- use Springle in breach of US or other applicable export or sanctions laws.
We may investigate suspected breaches and take reasonable action, including limiting or suspending accounts, as described in Ending this agreement.
Your content
Your words, screens and notes are yours. You give us only the permission we need to help you with them.
“Your content” means what you say, type and show Springle, and what you keep in your notebook, along with Springle’s answers to you. As between you and us, you own your content.
You give us a limited, worldwide, non-exclusive, royalty-free permission to use, process and transmit your content (including through our service providers and AI providers) only as needed to provide, secure and support the Service for you, and as our Privacy Policy describes. This permission ends when your content is deleted, except for copies we must keep by law. We don’t use your content to train AI models.
You’re responsible for your content and confirm you have the right to use it with Springle. AI-generated answers may be similar to answers given to other people, and we don’t claim they’re unique.
Feedback. If you send us ideas or suggestions, we may use them freely, with no obligation to you. Thank you: they really help.
Our app and updates
We let you use the Springle app on your Macs. It updates itself to stay safe and working.
Springle, the app, our website, the name and logo, the orb and everything else that makes up the Service belong to us or our licensors, and are protected by intellectual property laws. Subject to these Terms, we give you a personal, non-exclusive, non-transferable, revocable licence to download, install and use the Springle app on Macs you own or control, for your own use.
Automatic updates. Springle checks for updates and installs them automatically, so you always have the latest safety rules and fixes. Updates are signed, so your Mac only installs genuine Springle releases. To keep everyone safe, we may stop supporting older versions, and you may need to update before you can keep using some features.
Open-source components included in Springle are licensed under their own terms, which take priority for those components.
Changes and new features
Springle will keep getting better, which means things will change. We’ll tell you about important changes in advance.
- The Service. We may add, change or remove features. If we remove a major feature from a paid plan you’re on, we’ll tell you in advance, and you can cancel.
- Early access and previews. Springle is in early access. Some features may be labelled as previews or “coming soon”. Previews may be unfinished, may change or may be withdrawn.
- These Terms. We may update these Terms. For important changes, we’ll tell you in the app or by email at least 14 days before they take effect. If you keep using Springle after that, you accept the new Terms. If you don’t agree, stop using Springle and cancel your plan before the change takes effect. Changes won’t apply to disputes that started before them.
Ending this agreement
You can leave any time. We’d only end things for a serious reason, and we’ll tell you why.
- You can stop using Springle at any time. Cancel any paid plan, then email us to delete your account. Uninstalling the app doesn’t cancel a plan.
- We may suspend or close your account if you seriously or repeatedly break these Terms, if we must for legal reasons, or to prevent harm to you, others or the Service. Where reasonable, we’ll warn you first and give you a chance to fix things. We’ll tell you the reason unless the law or safety prevents it.
- We may also stop offering the Service altogether. If we do, we’ll give you at least 60 days’ notice and refund the unused part of any period you’ve paid for.
When this agreement ends, your licence to use Springle ends. Sections that by their nature should continue (such as Your content, Disclaimers, Limits on liability, Indemnity, Resolving disputes and The legal small print) still apply.
Disclaimers
We work hard to make Springle reliable and safe, but we can’t promise it will be perfect or always available.
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don’t warrant that the Service will be uninterrupted, timely, secure or error-free, that AI outputs or actions will be accurate, complete or suitable, that Springle will detect every scam or unsafe action, or that sensitive information on your screen will always be identified and hidden.
Some places don’t allow these exclusions, so some of them may not apply to you. If you’re a consumer, you keep the rights the law gives you, which these Terms can’t take away.
Limits on liability
If something goes wrong, our responsibility is limited to what you’ve paid us in the last 12 months, or $100, whichever is more, except where the law says otherwise.
To the fullest extent permitted by law, Springle and its affiliates, officers, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Service or these Terms, even if we were told such damages were possible.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amounts you paid for the Service in the 12 months before the event giving rise to the claim, and (b) US $100.
These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose. They don’t limit liability that can’t be limited by law, such as for death or personal injury caused by negligence, or for fraud. If you’re a consumer in the EU, EEA or UK, we’re responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill, and nothing in these Terms limits that.
Indemnity
If someone makes a claim against us because you misused Springle or broke these Terms, you’ll cover the cost.
To the extent the law allows, you agree to defend, indemnify and hold harmless Springle and its affiliates, officers, employees and agents from claims, losses and expenses (including reasonable legal fees) brought by third parties that arise from your misuse of the Service, your content, or your breach of these Terms or the law. This doesn’t apply to the extent a claim is caused by our own breach or negligence. This section doesn’t apply to consumers in places where such terms aren’t allowed.
Resolving disputes
Talk to us first: most problems can be fixed with an email. If not, US disputes go to individual arbitration, with an opt-out and a small-claims option.
Talk to us first
Before starting any formal dispute, email bharat@innoventuresai.com with your name, your account email, a description of the problem and what you’d like us to do. We’ll both try in good faith to resolve it within 60 days.
Arbitration (if you live in the United States)
If we can’t resolve a dispute informally, you and Springle agree to resolve any dispute arising out of or relating to these Terms or the Service through final, binding arbitration on an individual basis, instead of in court, except as described below.
- Arbitration will be run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, by a single arbitrator. It can take place by video, by phone, in writing, or in person in the county where you live.
- For claims under US $10,000, we’ll pay your AAA filing fees, unless the arbitrator finds your claim was brought in bad faith.
- The arbitrator can award the same individual relief a court could, but only for you individually.
- Exceptions. Either of us may bring an individual claim in small claims court instead, and either of us may go to court to stop infringement or misuse of intellectual property.
Class action waiver: you and Springle each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative action. If this waiver is found unenforceable for a claim, that claim (and only that claim) will go to court instead of arbitration.
Your right to opt out. You can opt out of arbitration within 30 days of first accepting these Terms by emailing bharat@innoventuresai.com with the subject “Arbitration opt-out”, your name and your account email. Opting out won’t affect anything else about your use of Springle.
Governing law and courts
These Terms are governed by the laws of the State of Delaware and applicable US federal law, without regard to conflict-of-law rules. Any dispute not subject to arbitration will be heard in the state or federal courts in Delaware, and we both consent to their jurisdiction, unless the law where you live gives you the right to bring a claim in your local courts.
Outside the United States. The arbitration section doesn’t apply to you. If you’re a consumer, you also keep the protection of the mandatory laws of the country where you live, and you can bring proceedings in your local courts. EU consumers can also use the EU’s online dispute resolution platform.
The legal small print
The usual details that make an agreement work.
- Whole agreement. These Terms, the Privacy Policy and any terms shown to you when you buy a plan are the whole agreement between you and us about the Service.
- If part doesn’t hold up. If any part of these Terms is found unenforceable, it will be limited as little as needed, and the rest stays in effect.
- No waiver. If we don’t enforce a part of these Terms straight away, we can still enforce it later.
- Transfer. You can’t transfer these Terms to someone else without our permission. We may transfer them as part of a merger, acquisition or sale of our business, and your rights under them will continue.
- Things outside our control. We aren’t responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers, internet failures, natural disasters or government action.
- Notices. We may send you notices in the app or to your account email. You can send notices to us by email at the address below.
- No third-party rights. These Terms don’t give rights to anyone other than you and us.
- US government users. The app is “commercial computer software” and is provided to government users with only the rights in these Terms.
- Headings and summaries. The “In short” summaries and headings are there to help you read. If they ever differ from the full text, the full text applies.
- Language. These Terms are written in English. If we translate them, the English version applies where the law allows.
